The SANYO Upgrade Your Samples Sweepstakes ("Sweepstakes") will begin at 12:00:01 a.m. Pacific Daylight Time on October 12, 2011 ("Sweepstakes Start Date") and end at 11:59:59 p.m. Eastern Daylight Time on March 27, 2012 ("Sweepstakes Period"). Participation in the Sweepstakes constitutes entrant's full and unconditional agreement to these Official Rules and the decisions of the Biomedical Solutions Division of SANYO North America Corporation ("Sponsor" or "SANYO"), which are final and binding in all matters related to the Sweepstakes. The official clock for purposes of the Sweepstakes is the computer of the Sponsor. The Sweepstakes is sponsored by the Biomedical Solutions Division of SANYO North America Corporation, a Delaware corporation, 1300 Michael Drive, Suite A, Wood Dale, Illinois 60191.

Eligibility: The Sweepstakes is open to legal residents of the United States (excluding Florida, New York, Puerto Rico and other U.S. territories and possessions) and Canada (excluding Quebec) who are at least twenty-one (21) years old as of the Sweepstakes Start Date and employed in a capacity where they perform life sciences research in a private, educational, public or government research facility or institution. Employees, officers and representatives of Sponsor, and any of their respective parent companies, subsidiaries and affiliates (collectively, "Released Parties") and members of the immediate family (mother, father, brothers, sisters, sons, daughters and spouse, regardless of where they reside) and household members of each such employee, whether or not related, are not eligible to participate. Winning a prize is contingent upon fulfilling all requirements set forth herein. Void in Quebec, New York, Florida, Puerto Rico, the U.S. Virgin Islands, U.S. Military installations in foreign countries, and where prohibited, taxed, or restricted by law.

How to Enter: Enter by any one or all of the following methods: (1) visit www.upgradeyoursamples.com (the "Website"), complete and submit the Upgrade Your Samples Sweepstakes registration form or a Request a Quote form, (2) visit Facebook and "like" us at Sanyo Biomedical, and when directed, complete and submit the Upgrade Your Samples Sweepstakes registration form or (3) follow us on Twitter (@sanyobiomedical) and take part in existing special contest on Twitter. Each entrant submitting a registration form via the Website or Facebook will be required to provide their full name, address, e-mail address, employer or institution and certify they are 21 or older and employed in a capacity where he or she performs life sciences research in a private, educational, public or government research facility or institution. If an entrant following us on Twitter is a selected as a potential winner, in addition to satisfying all other requirements herein, he or she will be required to provide the foregoing information by e-mail in a form designated by Sponsor, prior to and in order to be eligible to receive a Prize. All Grand Prize drawing entries must be received by March 27, 2012. Limit one (1) entry per person per entry type during the Sweepstakes Period, except for special Twitter contests which specify in writing that multiple entries are allowed. This writing will be posted clearly on Twitter at the time of the special contest.

All required information must be completed on the Website or via Facebook or Twitter to enter and to be eligible to win. Proof of entering information at the Website or via Facebook or Twitter is not considered proof of delivery to or receipt by Sponsor of an entry. Internet entries must be made by the entrant only through the Website or via Facebook or Twitter. Entries made by any other individual or any entity, and/or originating at any other web site or e-mail address, including, but not limited to, commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes. Released Parties are not responsible for: lost, late, incomplete, illegible, incorrect, delayed, garbled, undelivered, or misdirected entries. Sponsor reserves the right, in its sole discretion, to void any and all entries of an entrant that submits more than one entry by using multiple/different addresses, identities, or any other methods, or who Sponsor believes has attempted to tamper with, influence or impair the administration, security, fairness, or proper play of this Sweepstakes. All entries become the exclusive property of Sponsor and will not be acknowledged or returned.

By participating and submitting your information, you consent to Sponsor and its affiliated partners obtaining, using, and transferring your name, address or email address and other information to administer this Sweepstakes, as well as for Sponsor's own marketing purposes. This information will not be sold, rented or otherwise distributed to third parties except in accordance with these Official Rules and the SANYO Privacy Policy located at http://us.sanyo.com/Privacy-Policy. All entrants have the opportunity to opt-out of receiving marketing communications at any time as provided in the SANYO Privacy Policy.

Prizes: There will be the following prizes (each a "Prize"). The Grand Prize which will be randomly awarded in a drawing to be conducted within 10 days after the end of the Sweepstakes Period. The Monthly Prize will be randomly awarded on the last business day of each month during the Sweepstakes Period. The Third Prize will be randomly awarded on the last business day of each week during the Sweepstakes Period and also awarded to the twentieth (20th) person who Re-Tweets one of our posts from @sanyobiomedical during the Sweepstakes Period.

GRAND PRIZE: One (1) Winner – One ultra low temperature freezer model MDF-U76VC (estimated retail value: US$18,654)

MONTHLY PRIZE: One (1) Winner per month during the Sweepstakes Period - One Biocision Cool Cell product (estimated retail value: US$97.00)

THIRD PRIZE: A "VIP treatment" package consisting of a peach stress ball, mouse pad, pen, golf balls and polo shirt (estimated retail value: US$30). A Third Prize will be awarded to one (1) Winner per week and to the twentieth (20th) person who Re-Tweets one of our posts from @sanyobiomedical during the Sweepstakes Period.

Prizes may not be sold, traded, or commissioned, and are not exchangeable, transferable, or redeemable for cash, except that the winner may transfer or assign the Grand Prize to any private, educational, public or government research facility or institution. There are no substitutions unless specified by the Sponsor. The Sponsor reserves the right at its sole discretion to substitute any prize component with another prize component of equal or greater value.

Random Drawing: The potential winners of the Sweepstakes (each, a "Winner" and collectively, the "Winners") will be selected by random drawing from among all eligible entries received, provided that the Third Prize will also be awarded to the twentieth (20th) person who Re-Tweets any one of our posts from @sanyobiomedical during the Sweepstakes Period. All entries submitted by midnight of the day before the drawing of the monthly or weekly prize are eligible for inclusion in the weekly or monthly prize drawing. Entries that are not selected to earn a Monthly Prize or Weekly Prize will remain eligible to win subsequent Monthly Prizes and Weekly Prizes. The decisions of Sponsor, including the selection of Winners, are final and binding on all matters relating to this Sweepstakes. Limit one (1) Prize per person, email address or household. If a potential winner is from Canada, he or she will be required to correctly answer a time limited mathematical skill testing question to be administered by email and to meet all eligibility requirements of the Sweepstakes as described herein, prior to being declared a Winner.

Winner Notification: Winners will be notified via e-mail regarding any Sweepstakes prize won. Odds of winning a Monthly or Weekly Prize will depend on the total number of eligible entries received during the time periods set forth in the paragraph above. Odds of winning a Grand Prize will depend on the total number of eligible entries received during the Sweepstakes Period.

Prize Conditions: All Prize winners are solely responsible for the reporting and payment of all applicable federal, state, provincial and local taxes (if applicable) associated with the receipt of any prize. If applicable, the Grand Prize winner may receive an IRS 1099 tax form or W-9 form for the retail value of the prize. The Grand Prize winner will be required to sign an Affidavit of Eligibility and Liability/Publicity Release and return it within seven (7) calendar days of written notification by e-mail or mail or the prize may be forfeited and an alternate potential winner selected. If a prize or prize notification is returned as unclaimed or undeliverable to a potential winner, if potential winner cannot be reached within seven (7) calendar days from the first notification attempt, if potential winner fails to return requisite document within the specified time period, and/or if a potential winner is not in compliance with these Official Rules, then such person shall be disqualified and alternate winner(s) will be selected for the prize at issue via a random drawing by the Sponsor, whose decisions are final in all matters relating to this Sweepstakes. Alternate winners will be notified by email. All potential winners are subject to verification before any prize will be awarded. All shipping charges will be processed and paid for by SANYO, and not charged to the selected winners.

Internet Limitations of Liability: If for any reason, this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond Sponsor's control, which affects the proper conduct of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process (if applicable), and to cancel, terminate, modify or suspend the Sweepstakes in whole or in part, at any time, without notice and award prizes using all non-suspect eligible entries received as of the termination/suspension date. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Sponsor is not responsible for: lost, late, incomplete, illegible, incorrect, delayed, garbled, undelivered, or misdirected entries; theft, destruction or unauthorized access to, or alteration of, entries; failures or malfunctions of phones, phone lines or telephone or data transmission systems; interrupted or unavailable network, server or other connections; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or any technical problem, including but not limited to any injury or damage to any persons computer related to or resulting from Sweepstakes participation; typographical, printing or other errors or omissions in these Official Rules, in any Sweepstakes-related advertisements or other materials, or other problems or errors of any kind whether computer, network, mechanical, human, electronic, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or problems which may occur in connection with the administration of the Sweepstakes, in the processing of entries, in the selection or announcement of winners or in the awarding of prizes.

Sponsor is not responsible for any damage to an entrant's system which is occasioned by participating in this Sweepstakes or by downloading any information necessary to participate in this Sweepstakes. Sponsor also is not responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries in the Sweepstakes. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity of a winner based on an e-mail address, the winning entry will be declared by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. An entrant may be required to show proof of being the authorized account holder.

Sponsor reserves the right, in its sole discretion, to cancel or suspend the Sweepstakes (or any portion thereof) should virus, bugs, unauthorized human intervention, or other causes corrupt administration, security, fairness, integrity or proper operation of the Sweepstakes (or any portion thereof). In the event of cancellation, Sponsor may elect to identify Winners and award the Prizes by way of random drawing from among all non-suspect, eligible entries received up to the time of such cancellation.

Other Terms & Conditions: The Sweepstakes is subject to all applicable United States and Canada federal, state, provincial and local laws. By participating in the Sweepstakes, entrants agree to be bound by these Official Rules and agree that: 1.) Released Parties and their designees and assigns shall have the right and permission to use (unless prohibited by law) the winner's name, photograph, likeness, statements, biographical information, voice and address (city and state), in all forms of media, in perpetuity, without further notice, permission or compensation, and 2.) Released Parties and their designees and assigns and all of their respective officers, directors, employees, representatives and agents shall have no liability and entrant will indemnify, defend and hold harmless Released Parties from any liability, loss, injury, or damage to entrant themselves or any other person or entity, including, without limitation, personal injury, death or damage to personal or real property, to entrant or any other person or entity due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of the prize or participation in this Sweepstakes. Entrants further acknowledge that the Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee express or implied, in fact or in law, relative to the aforementioned prizes, including, but not limited to, its quality or fitness for a particular purpose. Sponsor reserves the right, in its sole discretion, to disqualify any entry and to modify, terminate or suspend this Sweepstakes should virus, bugs, non-authorized human intervention, action of entrants, or other causes beyond the reasonable control of Sponsor corrupt or impair the administration, security, fairness or proper play of the Sweepstakes and, if the Sweepstakes is modified, terminated or suspended, at Sponsor's discretion, select winners from those eligible, non-suspect entries.

Waiver of Liability: By participating in the Sweepstakes and submitting an entry, each entrant agrees to (i) be bound by these Official Rules, including all entry requirements, and (ii) waive and release from any and all liability and any and all claims against the Sponsor and each of their respective parents, affiliated companies, subsidiaries, officers, directors, employees, agents, licensees, distributors, dealers, retailers, legal advisors, and any and all other companies associated with the Sweepstakes, and all their respective officers, directors, employees, agents and representatives for any injury, death, damage, loss, or liability that may occur, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or from the acceptance, receipt, use, or misuse of any Prize or travel or activity related to the acceptance, receipt or use of any Prize.

IN NO EVENT SHALL SANYO BE LIABLE, WHETHER IN CONTRACT, TORT, WARRANTY, OR UNDER ANY STATUTE OR ON ANY OTHER BASIS FOR SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, MULTIPLE OR CONSEQUENTIAL DAMAGES SUSTAINED BY ANY WINNER OR ANY OTHER PERSON OR ENTITY ARISING OUT OF SPONSOR'S PERFORMANCE OR FAILURE TO PERFORM ITS OBLIGATIONS RELATING TO THE AWARD OF THE PRIZE OR PERFORMANCE OF SERVICES, THE POSSESSION OR USE OF ANY PRODUCT, OR THE PERFORMANCE BY SANYO OF ANY SERVICES, WHETHER OR NOT FORESEEABLE AND WHETHER OR NOT SANYO IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES ARISING FROM OR RELATED TO LOSS OF USE, LOSS OF DATA, DOWNTIME, OR FOR LOSS OF REVENUE, PROFITS, GOODWILL, OR BUSINESS OR OTHER FINANCIAL LOSS.

Disputes: By entering the Sweepstakes, entrants agree that 1.) Any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action; 2.) Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes but in no event attorneys' fees; and 3.) Under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, shall be governed by, and construed in accordance with the laws of the state of California without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the state of California. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The value of the prizes set forth above represents Sponsor's good faith determinations of the retail value thereof and such determinations are final and binding and cannot be appealed
